Agreement to these terms
These Terms of Service govern access to and use of adaptlive websites, applications, customer workspaces, APIs, support tools, documentation, demos, and related services.
By creating an account, accessing a workspace, signing an order form, configuring a phone number, or otherwise using adaptlive, you agree to these terms on behalf of yourself and, if applicable, the organization you represent.
If your organization has a separate written agreement, order form, statement of work, or data processing addendum with adaptlive, that written agreement controls where it conflicts with these online terms.
The service
adaptlive provides software for live AI guidance on business phone calls, including call routing through a bridge number, live transcription, workflow detection, slot filling, prompt generation, draft creation, CRM sync, and related workflows.
adaptlive may add, modify, or discontinue features over time. We may provide beta, preview, sandbox, or evaluation features that are not final and may be changed or removed.
Accounts, workspaces, and users
Customers are responsible for all activity in their workspace, including users they invite, roles they assign, phone numbers they configure, CRM connections they authorize, integrations they connect, data they import, and notices they send.
You must provide accurate account information, keep credentials confidential, use reasonable security practices, and notify us promptly of suspected unauthorized access.
We may suspend or restrict access when necessary to protect adaptlive, customers, users, service providers, or legal compliance.
Customer content and data rights
Customers retain their rights in records, transcripts, drafts, configurations, templates, comments, and other content submitted to adaptlive.
You grant adaptlive the rights necessary to host, process, transmit, display, secure, back up, analyze, support, and otherwise operate adaptlive for you and your authorized users.
You represent that you have the rights and notices needed to forward calls through adaptlive, to record or transcribe calls when those features are enabled, and to authorize adaptlive and its service providers to process that content.
Compliance responsibility
adaptlive surfaces prompts, drafts, and structured records during and after calls. adaptlive does not replace professional judgment, dispatcher decisions, legal advice, regulator instructions, or customer approval.
Customers remain responsible for final business decisions, legal review, workflow configuration, what is promised to callers, the accuracy of records before they sync, and communications with their customers.
AI-generated transcripts, prompts, slot extractions, summaries, and draft records must be reviewed by a qualified user before reliance, customer confirmation, dispatch, or CRM sync. adaptlive requires human approval before writing to a connected CRM.
Call recording and disclosure obligations
Call recording, transcription, and AI processing are subject to applicable law in the caller's and the called party's jurisdictions, including one-party / two-party consent statutes.
Customers are responsible for delivering required disclosure to callers — for example via a configurable greeting message — for choosing recording, transcript-only, or live-only modes, and for honoring caller requests when required by law.
APIs, integrations, and webhooks
API keys, OAuth credentials, webhooks, imports, exports, and integrations must be protected and used only for authorized workspace purposes.
You are responsible for systems you connect to adaptlive (CRMs, Zapier flows, generic webhooks), data you transmit through integrations, webhook endpoints you configure, and actions taken using your API credentials.
We may apply rate limits, scope restrictions, logging, revocation, or suspension to protect service reliability and security.
Billing, subscriptions, and taxes
Paid features are billed according to the plan you select on the pricing page, an order form, an invoice, or a separate agreement. Unless stated otherwise, fees are due in U.S. dollars and are exclusive of taxes.
Payment processing is handled by a third-party payment processor. You authorize applicable charges, renewals, usage fees, and taxes according to the checkout flow or written agreement.
Failure to pay may result in suspension, downgrade, termination, or collection activity after appropriate notice, subject to any written agreement.
Acceptable use
You must comply with the Acceptable Use Policy. You may not misuse adaptlive, interfere with security, upload malicious code, scrape or overload the service, violate law, infringe rights, send spam, place robocalls, or impersonate adaptlive.
We may investigate and take action against activity that threatens adaptlive, customers, users, callers, infrastructure, or legal compliance.
Confidentiality
Non-public information disclosed through adaptlive, including product roadmap information, security materials, customer data, credentials, pricing, and procurement materials, may be confidential.
Each party will use reasonable care to protect the other party's confidential information and will use it only for the relationship, except as permitted by law, written agreement, or the disclosing party.
Intellectual property
adaptlive and its software, designs, documentation, workflow templates, logos, trademarks, and other materials are owned by adaptlive or its licensors and are protected by intellectual property laws.
These terms do not transfer ownership of adaptlive intellectual property to you. You may not copy, reverse engineer, resell, sublicense, or create derivative works from adaptlive except as expressly allowed by law or written agreement.
Feedback may be used by adaptlive without restriction or compensation, provided we do not disclose customer confidential information in doing so.
Third-party services
adaptlive interoperates with third-party services such as hosting providers, telephony providers, speech-to-text providers, AI providers, payment processors, identity providers, analytics tools, email providers, CRM platforms, and customer-configured integrations.
Third-party services have their own terms and privacy policies. adaptlive is not responsible for third-party services that are not under our control.
Disclaimers
To the maximum extent permitted by law, adaptlive is provided "as is" and "as available" unless a written agreement states otherwise. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
adaptlive does not guarantee that any prompt, transcript, slot extraction, draft, or CRM sync will be free of error or will satisfy every applicable law, customer policy, regulator, or factual scenario.
Limitation of liability
To the maximum extent permitted by law, adaptlive will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, revenue, goodwill, or business opportunity.
Unless a written agreement states otherwise, adaptlive's total liability for all claims relating to the service will not exceed the amounts paid to adaptlive for the service giving rise to the claim during the twelve months before the event giving rise to liability.
Indemnity
You agree to defend and indemnify adaptlive from claims arising from your content, your misuse of the service, your violation of these terms, your connected systems, your call-recording or disclosure decisions, or your violation of law or third-party rights, except to the extent caused by adaptlive's gross negligence or willful misconduct.
Termination
You may stop using adaptlive at any time, subject to any payment, retention, export, or termination obligations in a written agreement.
We may suspend or terminate access for material breach, nonpayment, security risk, unlawful use, or discontinuation of the service, subject to any notice requirements in a written agreement.
After termination, customer data may be retained, exported, or deleted according to the customer agreement, product settings, legal obligations, and backup schedules.
Governing law and disputes
Unless a written agreement states otherwise, these terms are governed by the laws of the jurisdiction identified in adaptlive's applicable order form or principal place of business, without regard to conflict-of-law rules.
Before filing a claim, the parties will attempt in good faith to resolve disputes informally by contacting hello@adaptlive.app or the account contact identified in the applicable agreement.
Changes
We may update these online terms from time to time. Material changes will be posted with a new Last updated date or communicated through the service, email, or a customer agreement when appropriate.
Continued use of adaptlive after updated terms become effective means the updated terms apply.
